Affiliate Terms & Conditions

1. Eligibility

• You must be at least 18 years old to participate in the Programme.
• You act as an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, or partnership relationship between you and BOS.
• You are solely responsible for declaring and paying any tax, National Insurance, or other liability arising from commission earned.

2. Commission

• Commission is currently set at a fixed amount per active, paying referral (shown in your affiliate dashboard) and may vary by agreement.
• A "valid referral" is a new BOS customer who signs up using your unique referral code and holds an active, paid subscription.
• Commission is recurring — payable for each billing cycle the referred customer remains an active, paying subscriber — not a one-off payment.
• VAT is not currently charged on commission payments; this is subject to change if required by law.
• All commission is calculated and paid in GBP (£) unless otherwise agreed in writing.
• Commission is calculated and transferred on a rolling monthly basis, for each month the referred customer's payment is successfully collected.
• Commission is only earned once the referred customer's subscription payment has been successfully received by BOS — not on sign-up or trial start.

3. Qualifying Referrals

Commission is only payable where ALL of the following apply:

• The customer is genuinely new to BOS and was not already registered or in our database prior to the referral.
• Payment for the subscription has been successfully received and cleared.
• The subscription has not been refunded, reversed, or charged back.
• The account and sign-up are not fraudulent, automated, or otherwise abusive.
• Free trials do not earn commission unless and until they convert into a paid subscription.
• Commission is not payable while a referred customer's payment is overdue or failed.
• If a referred customer cancels within the first 30 days of their subscription, no commission is due for that referral.

4. No Self-Referrals & Abuse Prevention

You must not, for the purpose of generating commission:

• Create your own customer account(s) using your own referral code.
• Refer family members, friends, or associates solely to generate commission with no genuine business use.
• Create fake or shell businesses to pose as referred customers.
• Use multiple email addresses or identities to generate artificial referrals.

Any commission arising from the above will be cancelled, and any amount already paid may be deducted from future commission or reclaimed.

5. Payment Terms

• Minimum payout threshold: £50. Balances below this are carried forward to the next payment cycle.
• Payments are processed monthly, following successful collection of the referred customer's subscription payment.
• Payments are made via Stripe Connect to the bank account you provide during onboarding.
• BOS reserves the right to withhold any payment while investigating suspected fraud, abuse, or breach of this Agreement.

6. Refunds & Chargebacks

If a referred customer receives a refund, chargeback, or payment reversal before commission becomes payable, no commission will be paid for that payment. If commission has already been paid in respect of a payment that is later refunded or reversed, BOS may deduct the equivalent amount from your future commission payments.

7. Prohibited Marketing

You must not, in the course of promoting BOS:

• Claim or imply that you work for, are employed by, or officially represent BOS.
• Mislead prospective customers about BOS's features, pricing, or guarantees.
• Make false, exaggerated, or unpublished promises about the product.
• Send unsolicited spam emails or direct messages to promote your referral code.
• Purchase paid advertising using "BOS", "Business Operating System", or confusingly similar terms as keywords without our prior written permission.
• Use copyrighted material, images, or content without the rights holder's permission.

8. Social Media Rules

• You must comply with all applicable advertising standards and consumer protection laws.
• You must clearly disclose your affiliate relationship in any post, video, or message promoting BOS (e.g. "#ad" or "Affiliate Link").
• You must comply with the terms and community guidelines of any social media or advertising platform you use.

9. Intellectual Property

• Affiliates receive no ownership rights in BOS names, logos, trademarks or brand assets. Permission to use these assets is limited to promoting BOS under these terms.
• You are granted a limited, non-exclusive, revocable licence to use approved marketing materials solely for promoting BOS under this Agreement.
• BOS may withdraw this permission, or require you to remove specific materials, at any time and without notice.
• You may not register domain names, social media accounts, or run advertisements that could reasonably confuse the public into believing they are dealing directly with BOS.

10. Fraud

BOS reserves the right, at its sole discretion, to reject referrals, suspend affiliate accounts, reverse commission, and permanently ban affiliates found engaging in fraudulent or abusive activity, including but not limited to:

• Fake or fabricated sign-ups
• Automated bot-driven referrals
• Use of stolen payment cards
• Incentivised sign-ups not pre-approved by BOS
• Referral rings or coordinated abuse between multiple affiliates

11. Right to Change Commission

BOS may amend commission rates, qualifying criteria, or payment structures at any time by providing reasonable notice to affiliates (e.g. via email or in-app notification). Continued participation in the Programme after such notice constitutes acceptance of the revised terms.

12. Termination

BOS may terminate your participation in the Programme immediately, without notice, for fraud, misconduct, damage to the BOS brand, or any breach of this Agreement. Any commission arising from fraudulent activity is forfeited, whether or not it has already accrued. BOS may also close the affiliate Programme in general, or your individual affiliate account, at any time, subject to payment of any valid commission already earned in accordance with this Agreement.

13. Limitation of Liability

To the maximum extent permitted by law, BOS is not liable to you for lost profits, loss of business, indirect or consequential damages, or losses arising from technical issues or tracking failures relating to the Programme.

14. Tracking Disclaimer

While BOS uses reasonable efforts to accurately track referrals and attribute commission, BOS does not guarantee uninterrupted or error-free tracking and shall not be liable for technical failures beyond its reasonable control.

15. Privacy

To operate the Programme, BOS collects and processes your name, email address, referral activity, and Stripe Connect account details. This data is used solely to administer the Programme, calculate and pay commission, and communicate with you about your affiliate account. You must comply with applicable data protection laws (including the UK GDPR) in respect of any personal data you collect from prospective referrals. See our Privacy Policy for further detail.

16. Additional BOS-Specific Terms

• BOS may refuse any referral for any reason, at its sole discretion.
• Commission is only ever earned on completed, successfully paid subscriptions.
• BOS may audit affiliate activity at any time to verify compliance with this Agreement.
• Referral codes and links remain the property of BOS at all times.
• You must not make any claims about BOS's features, pricing, or guarantees that have not been officially published by BOS.

17. Governing Law

This Agreement shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
